Inturai Ventures Raises $941K in First Round of Private Share Sale

Vancouver, BC -- August 30, 2026 -- Inturai Ventures Corp. closed the first tranche of its private placement on August 28, 2026, raising $940,999.65 by selling 6,273,331 units at $0.15 each. The Vancouver-based company, which trades under CSE: URAI, OTC: URAIF, and FSE: 3QG0, had set out to raise up to $1,275,000 through the sale of up to 8,500,000 units. Company officials said the remaining portion of the offering is expected to close in one or more additional tranches over the coming weeks.

Sells Units Bundled With Future Purchase Rights

Each unit sold in the first tranche included one common share plus one warrant. The warrant lets the holder buy an additional share at $0.25 anytime over the next 24 months.

That timeline could shrink, though. If Inturai's share price closes at or above $0.35 for five straight trading days on the Canadian Securities Exchange, the company can trigger an accelerated expiry. Under that scenario, Inturai would issue a press release, and warrant holders would then have just 30 days to exercise before the warrants expire.

Directs New Cash Toward Research and Operations

Inturai said it plans to put the proceeds toward research and development, business development, and general working capital. The company describes its focus as building AI-driven systems for sectors including healthcare, military applications, smart homes, and industrial settings.

The units were sold under the listed issuer financing exemption found in Canadian securities rules, covering every province except Quebec, along with other qualifying jurisdictions including the United States. Because of that exemption, the shares and warrants become immediately free-trading under Canadian securities law rather than subject to a standard resale hold.

Pays Finders for Bringing in Investors

Inturai paid $9,900 in cash and issued 66,000 finder warrants to arm's-length parties who helped connect the company with subscribers for the offering. Those finder warrants carry the same $0.25 exercise price and remain valid until August 28, 2028. Any securities issued to the finders carry resale restrictions until December 29, 2026, under Canadian Securities Exchange policy.
